Advisory services to Fratelli Cosulich, a private investment company based in Italy, in respect of the sale of one of the currently largest residential real estate projects in the capital of Slovakia to a Slovak-based developer. The transaction was structured as an M&A deal through which a major Slovak developer acquired the property, with all of the related rights and permits, from the two shareholders.

Sale of 100% shares in a Czech holding company. Comprehensive legal advisory services to the seller with regard to a transaction consisting in acquiring 100% shares in a Czech holding company. The target’s most valuable asset was ownership right to shares in a Polish company which owned real properties, raw material and technology intended for the production of innovative fuel (mining waste processing). The Polish branch of PETERKA & PARTNERS advised on the share transfer agreement and attachments thereto (including the seller’s securities and representations & warranties related to the Polish asset including real properties), due diligence of a Polish daughter company, and compliance and corporate matters involving Polish law. The deal was challenging due to (i) its cross-border nature (which entails i.a. development of warranties and security measures fully enforceable under Czech and Polish law), (ii) the specific industry in which the Polish asset operates, which respectively required expert knowledge in this area of law, (iii) the complex legal situation of the Polish asset, which was involved in several litigations, and which required due diligence and a limited prediction of the potential results of such litigations. Polish and Czech jurisdictions. The main asset of the acquired Czech company was the ownership right to shares in a Polish company which owned real properties and raw material intended for the production of innovative fuel. The share transfer agreement was concluded under Czech law, however, the buyer was a Polish company; also, due diligence of a Polish daughter company, and the compliance matters to a large extent, involved Polish law.
