KISWIRE

Legal advisory to a Czech subsidiary of a global manufacturer of steel wires. The advisory was related to obligations arising from Czech Act No. 171/2023 Coll. on Whistleblower Protection. We first had to take into account the group nature of the company and how the client intended to deal with the reports received. After this initial assessment, we agreed that the client would set up its internal reporting system on the NNTB platform, which we would then link as a sub-account to our partner administration on this platform. Designated persons from our law firm then acted as the competent person for the client within the meaning of the above Act. Another activity was the preparation of the internal policies for the client, on the basis of which the internal reporting system and the reporting process would function in their company. We divided the policy into two areas, one focused on informing whistleblowers about the principles of reporting and the other on regulating the process for receiving, assessing, investigating, and finally resolving reports. Another specific sub-area was the protection of personal data handled in connection with the processing of reports. In particular, setting out the procedure for the competent person to receive reports and the manner in which a whistleblower can submit a report were essential parts of these policies. In accordance with the legislation and the client's requirements, we determined the range of whistleblowers who may submit a report, which was extended to include persons who do not perform dependent work for the client. An equally important aspect was the obligation of confidentiality and ensuring the protection of the identity of the whistleblower as well as the content of the report from third parties and the coordination of activities with our Hungarian office, which provided similar local services for the client

Training sessions were further aimed at rules on competition protection in which employees were instructed on the prohibition of agreements restricting competition, on the prohibition of abuse of dominant position, on the consequences of infringement of the rules on competition protection, as well as on the ethical principles applicable in the SEVES group.

VEOLIA GROUP

Legal services to the client, a member of Veolia Group, the world leader in the environmental services sector, with legal support at the initial stage of launching an infrastructure project in Kyiv. In particular, PETERKA & PARTNERS prepared a memorandum of understanding and letter of intent between the client and Kyiv City Council outlining the key steps and conditions for launching a mutual project on the development of a waste treatment plant.

The PETERKA & PARTNERS team led by Hynek Peroutka advised MORAVSKÁ VODÁRENSKÁ a.s. from Veolia Group („MOVO“) in the project of transforming the operation of the water supply infrastructure in the Zlín region and creating a new model, which ended an 18-year long series of court and arbitration disputes between the company Vodovody a kanalizace Zlín a.s („VAK Zlín“), as the owner of the infrastructure controlled by the municipalities in the Zlín region, the towns of Otrokovice and Fryšták as its minority shareholders, and MOVO as the operator of the infrastructure. PETERKA & PARTNERS also previously represented MOVO in a number of these disputes. The essence of the settlement, which was negotiated for two years and subsequently implemented in the first half of 2022, was the creation of a new operating company Vodárna Zlín a.s., into which MOVO contributed part of its business and which, as of 1 July 2022, took over the operation of the water supply infrastructure owned by VAK Zlín and towns and municipalities in the Zlín region. From 1 July 2022, Vodárna Zlín a.s. became a joint venture between VAK Zlín and MOVO (by transferring of 75% of shares) until the end of 2029, when it will become fully controlled by VAK Zlín. The entire transaction comprises a number of unusual and innovative aspects, concerning relations between the shareholders of the joint venture, a specific controlling role of the towns of Otrokovice and Fryšták, special arrangements for the purchase price of the shares, the method of its payment and generating of funds for it, and others. Given the nature of the water supply business, the complexity of the negotiated structure and the involvement of both private and public (municipal) actors, the transaction also involved a number of public law and regulatory aspects and was subject to clearance by the Office for the Protection of Competition.

Advising Yamaha in commercial matters. PETERKA & PARTNERS mainly advised the client in respect of the distribution agreements to be concluded with Yamaha’s local distributors in several Eastern European countries.

Advising companies from the Yamaha group on consumer protection matters: - advising the client in respect of the legal regulations on promotional communication to customers on websites (discount codes) including related information duties under the EU Omnibus Directive and local laws in the Czech Republic, Slovakia, and Poland implementing the Omnibus Directive. The provision of services in all three countries was coordinated from Slovakia. - revising the conditions for several discount events, including related information obligations according to the EU Omnibus Directive and local laws in the Czech Republic and Slovakia, and ensuring compliance with regulations on consumer protection and personal data protection.
