Comprehensive legal and tax assistance to the worldwide Italian leader in publishing, media and games services, regarding: registration of a title in Slovakia and the applicable VAT rate, including representation in related proceedings in front of the Slovak authorities in favor of the Polish entity.
FRATELLI COSULICH
Advising Fratelli Cosulich, an Italian group, on a transaction involving the sale of participation interest in a Slovak company holding real estate and a development project in Bratislava to a major Slovak development group. PETERKA & PARTNERS provided comprehensive legal assistance to the client, including negotiations with all parties involved, drafting of transactional documentation, and closing and post-closing steps. The value of the transaction was not disclosed.
Advisory services to Fratelli Cosulich, a private investment company based in Italy, in respect of the sale of one of the currently largest residential real estate projects in the capital of Slovakia to a Slovak-based developer. The transaction was structured as an M&A deal through which a major Slovak developer acquired the property, with all of the related rights and permits, from the two shareholders.

Czech Republic s.r.o., a Czech company providing refuelling for the aircraft at Václav Havel Airport Prague.

Legal advice to a company belonging to the SEVES group, an Italian world leader in the production of electrical insulation, in connection with preparing and conducting a series of training courses for company employees that were focused on anti-corruption rules, including an outline of types of corruption, involvement therein, and the consequences of non-compliance with anti-corruption rules, including criminal ones. Training sessions were further aimed at rules on competition protection in which employees were instructed on the prohibition of agreements restricting competition, on the prohibition of abuse of dominant position, on the consequences of infringement of the rules on competition protection, as well as on the ethical principles applicable in the SEVES group.

Tax advisory services to Technogym Group, an Italian leader in fitness and home workout gym equipment. We advised on the Slovak VAT on various cross-border transactions, in particular various business and distribution models involving distributors and final customers in the EU and non-EU countries, triangulation schemes and other chain transactions.
